Why PM & Procurement Are Part of This Engagement
A skilled builder focuses on what they build best: the structure, the systems, the physical execution. What often falls outside a contractor's scope is the coordination layer: tracking material lead times against the construction schedule, flagging spec conflicts before they become expensive mistakes, keeping the client informed without requiring them to be on-site, and ensuring every finish that gets installed was the one that was actually selected and approved.
Because your project involves custom design specifications: concealed millwork, fixture selections, finish schedules, and material sequencing: someone needs to hold that thread from design approval through final installation. That is what project management and procurement oversight provides.
This is not a reflection of your contractor's capability. It is a recognition that design management and construction management are two different disciplines. Our role is to bridge them: translating design intent into clear specifications your GC can execute, and keeping you informed at every stage so you are never in the dark about your own home.
A Note on Material Sourcing
General Contractor's Scope
Your General Contractor is responsible for sourcing all major construction materials within his scope of work. We will provide specifications and approved selections for all finishes so that his sourcing stays aligned with the design intent.
Designer's Soft Finish Scope
That said, there are moments in every project where a client wants a second opinion, an alternative option, or a finish that falls outside what a contractor typically sources: lighting, door hardware, faucets, paint, switch plates, specialty tile. If sourcing support is requested beyond design specifications already provided, that work is scoped and billed at our standard sourcing rate of $125/hr. We will always communicate before that clock starts so there are no surprises.
GC Specification Compliance
Designer is responsible for design direction and specification of all finishes. If materials sourced by the General Contractor deviate from approved specifications, Designer reserves the right to reject non-conforming materials and require substitution at no additional design fee. Designer is not responsible for the quality, cost, or lead time of materials sourced independently by the General Contractor.
Samples & Materials: Pre-Payment Policy
Sparrow+Aire Studio does not advance the cost of samples or materials on behalf of the client. Prior to placing any order, Designer will issue a written confirmation of cost itemizing the sample or material, vendor, quantity, and total due. Client pays that amount in full before the order is placed. This applies to every purchase regardless of size. No exceptions.
PM & Procurement Services: Phase 1
All PM and procurement services are billed at $125/hr and invoiced bi-weekly at actual hours worked. The projection below shows estimated weekly spend by construction phase so you always know what to expect on your next invoice before it arrives.

How We Notify You Before Sourcing Begins
Sourcing hours are never a surprise. Three checkpoints ensure you know exactly when the clock starts and what it is running for.

Phase Transition Notice
When demo wraps and sourcing is about to begin, you receive a formal written confirmation: "We are entering the finish phase. Soft finish sourcing will begin this week. Estimated 10–15 hrs/week at $125/hr. Reply to confirm you would like to proceed." Your reply is required before the clock starts.

Friday Report Preview
Every Friday status report closes with a sourcing preview for the following week: what items are being researched, which vendors or showrooms are being visited, and the estimated hours. You always see next week's sourcing before it happens.
Note: the accuracy of the Friday report is dependent on what the General Contractor provides during site visits: material samples, vendor information, and progress on materials he has sourced. Kimberly will report on what has been made available to her. If GC does not provide timely field notes or samples, the report will reflect that gap.

Session Authorization: Over 3 Hours
If a single sourcing session will exceed 3 hours: a slab visit, showroom run, or extended research block: a quick text confirmation is sent before it begins: "Heading to [vendor] for [item]. Estimated 4 hours. Confirming before I go." One reply, clock starts. No session over 3 hours runs without your green light.

Full Agreement , All Schedules

This Agreement, including all schedules referenced herein, confirms the understanding between Kimberly V Gedeon / Sparrow+Aire Studio LLC (the "Designer") and Devan & Dani Terry (the "Client") with respect to the property at 3806 Carmona Ave, Los Angeles, CA (the "Project"). The General Contractor is retained directly by Client and executes all physical construction. This Agreement covers Designer's construction design services, project coordination, and soft finish sourcing oversight for Phase 1 of the Project.
Schedule A: Preliminary Project Information
1. Project Area
Full residence at 3806 Carmona Ave, Los Angeles, CA. Approximately 1,842 square feet. 4 bedrooms, 3 bathrooms including master bath addition.
2. Proposed Investment
Phase 1 design fee is $13,500 flat, covering construction design services for the kitchen, master bath addition, and guest bath. An optional add-on design fee of $1,800 applies to the hidden hallway wardrobe. Project Management, Trade Coordination, and Soft Finish Sourcing are billed at $125/hr as described in Schedule B-3 and Schedule C. The General Contractor is responsible for all construction costs, materials, and permit fees. Designer does not advance construction costs, permit fees, or material costs on behalf of the client.
3. Investment Estimates
While Designer will best endeavor to implement plans within the proposed investment, in light of the many factors outside of our control, Designer does not represent or guarantee that Project costs will not exceed these investment estimates or any revised investment proposed or approved by you.
4. Project Team
Your Designer for the Project is Kimberly V Gedeon, Sparrow+Aire Studio LLC. The General Contractor is retained directly by Client and is not a party to this Agreement.
Schedule B: Phase 1 Construction Design Services
Designer will provide the following construction design services for the three Phase 1 zones: Kitchen, Master Bath Addition, and Guest Bath. The General Contractor executes all physical construction. These services cover the design work that makes the build buildable and intentional.
1. Design Deliverables Per Space
For each of the three Phase 1 spaces, Designer will provide a full design presentation including:

2. Delivery Timeline
Full design presentation including all deliverables is due 10 business days from the date deposit and all required client materials are received. The 10-business-day clock begins once both conditions are satisfied: (a) deposit payment cleared, and (b) client has provided all required materials per Schedule K, Section 5.
3. Material Sourcing Responsibility
General Contractor is responsible for sourcing all major construction materials including cabinetry, countertops, stone, tile, vanities, sinks, and toilets. Designer provides an inspiration material board as the vision guideline for all GC sourcing. If materials sourced by the General Contractor deviate from approved specifications, Designer reserves the right to reject non-conforming materials and require substitution at no additional design fee. Designer is not responsible for the quality, cost, or lead time of materials sourced independently by the General Contractor.
4. Revisions
Two rounds of revisions are included per space after the full design presentation has been submitted. A revision is defined as one consolidated set of feedback per round. Revisions that materially change the original design direction or scope are considered a redesign and billed at $125 per hour.
5. Optional Add-On: Hidden Hallway Wardrobe
Design fee of $1,800 covers: full-span hallway space planning and layout, concealed panel mechanism coordination with GC, interior cabinetry, shelving, and rod layout, and material and finish specification to match surrounding hallway. Final scope subject to field measurements. Construction labor and materials are GC's scope. Payment: 50% at design approval, 50% at construction completion.
Schedule B-3: PM, Trade Coordination & Soft Finish Sourcing
All services under this Schedule are billed at $125/hr and invoiced bi-weekly at actual hours worked. A full time log with dates, tasks, and hours accompanies every invoice.

When requested beyond the inspiration material board provided under Schedule B, Designer will source soft finishes including lighting fixtures, door hardware, faucets, sinks, toilets, switch plates, and paint selections at $125/hr. Three-step sourcing notification protocol applies before any sourcing hours begin:
Phase Transition Notice: Written confirmation issued when sourcing phase opens. Client written confirmation required before the clock starts.
Friday Report Preview: Every Friday report closes with a sourcing preview for the following week. Accuracy depends on field notes, samples, and vendor information provided by the General Contractor during site visits.
Session Authorization: Any single sourcing session exceeding 3 hours requires client written confirmation before it begins.

4. Payment Terms
All of Designer's invoices are payable upon receipt. Any amounts not paid when due are subject to an interest charge of twelve percent (12%) per annum after 30 days. Designer may suspend services and withhold any item of Merchandise until payment has been made in full. All Designer compensation is subject to applicable state and local sales and excise taxes and you agree to pay these taxes.
Schedule D: Selection of Merchandise
1. Selection and Specification of Merchandise
Research, design and procure merchandise such as furniture, wall coverings, floor coverings, window treatments, fixtures, decorative accessories, art, stone, tile, and the like
Provide fabric samples, finish samples, photographs, and/or other visual illustrations of merchandise for client consideration
Provide written purchase specifications for approved Merchandise
2. Installation
Designer will, at the conclusion of the Project, assist with final placement of decorative merchandise at the residence.
Schedule E: Purchasing Services
1. Purchasing Services
Designer will provide purchasing services in accordance with the terms set forth below. All Merchandise and Decorative Installations sold by or through Designer are subject to Schedule H: Terms and Conditions of Sale.
2. Proposals
Each item of Merchandise to be purchased by you will be specified in a written proposal prepared by Designer and submitted for your approval. Each Proposal will describe the item or service to be purchased and its specified price to you.
3. Ordering and Payment
All Merchandise specified by Designer will, if you wish to purchase them, be purchased solely through Designer. No item can be ordered until the corresponding Proposal has been approved by you and returned with the required initial payment of at least fifty percent (50%) of the Specified Price. Custom orders, fabrics, wallpaper, accessories, antiques, and art require full payment at time of signed Proposal.
4. Order Management
Designer will assist in managing your orders and following up with vendors regarding any delays or errors in processing your orders, and in scheduling and coordinating deliveries with vendors to your residence.
5. Merchandise Inspection
You will be solely responsible for receiving, uncrating, and inspecting Merchandise for any visible damage upon receipt. All claims including defects, shortages and errors must be made within one (1) day after receipt of the Merchandise. Failure to make any claim within such one (1) day period shall constitute acceptance of the Merchandise and a waiver of said defects, shortages, errors, or other claims.
Schedule F: Installation & Project Administration Services
During the course of the Project, Designer will visit your residence from time to time as deemed necessary to oversee placement and installation of furnishings and merchandise, as well as manage contractors and third-party installers. Designer will also visit your residence from time to time as deemed necessary to see whether, in our opinion, the work of any contractor, subcontractor, or vendor is proceeding in general conformity with our Design Documents ("Project Administration Services").
Designer is not responsible, however, for the performance or timely completion of any work by any contractor, subcontractor, or vendor, or of any materials or equipment furnished by them.
Schedule G: Full Home Interior Design Services
Full home interior design services are not included in this Phase 1 Agreement. This schedule is reserved for future engagement and will be revisited upon completion of Phase 1 construction. At that time, client may elect one of the following fee structures for the full home interior design scope across all remaining phases.
1. Fee Structure Options (Pending Phase 1 Completion)
Option 01: Full Home Flat Rate: $8.00 per sqft x 1,842 sqft = $14,736. All 10 rooms included. Best value.
Option 02: Per Room (3+ rooms): $2,100 per room. For clients committing to 3 or more rooms at a time.
Option 03: Per Room (1–2 rooms): $2,800 per room. For occasional or partial scope.
Selection of fee structure will be confirmed in writing under a separate agreement prior to commencement of full home interior design services. Rates are subject to adjustment at the time of the Phase 2 engagement based on current market conditions.
Schedule H: Terms and Conditions of Sale
Price Changes
Proposal prices are adhered to as much as possible. Designer reserves the right to increase your price accordingly due to supplier price changes. You will be notified of any price increases; and when the price increases by more than ten percent (10%) over the original Proposal price, your written approval will be obtained prior to purchase.
No Cancellations or Returns
All Proposals approved by you in writing are non-cancelable unless expressly agreed upon in writing. Designer will not, under any circumstances, accept cancellation of any custom or special order. Should Designer accept a cancellation of an order, Designer shall have the right to retain payments equal to the compensation or fees that would have been earned had the order not been cancelled.
Change Orders
Work change orders (WCO) will be issued for additional work and changes requested after approval of plans or commencement of work. WCOs include a description of the change requested, estimated additional costs, and changes to work schedules. Client's signature is required on WCOs to proceed.
Product Taken on Approval
You agree to make purchasing decisions within twenty-four (24) hours of all items taken on approval. Any items of Merchandise held for more than twenty-four (24) hours without your rejecting the proposed Merchandise will be invoiced to you, and your payment will be due upon your receipt of the invoice. All Merchandise delivered to you will incur shipping and/or delivery charges regardless of whether the item was purchased.
Client's Failure to Accept Delivery
Any Merchandise not accepted for delivery within fourteen (14) days after notification is subject to storage charges as determined by Designer. You will bear the risk of loss or damage during such transfer and storage.
Carrier as Agent of the Client
All shipments are made F.O.B. place of origin. If Designer arranges for delivery of Merchandise, the carrier shall be deemed your agent. Designer shall not be responsible, in any event, for any damage caused to the Merchandise during shipment, transfer, or while in storage. All claims for freight overcharge or damage to goods while in transit must be settled with the carrier.
Sales Taxes and Other Charges
All delivery, packing, crating, shipping, in-transit insurance, local delivery, hoisting, uncrating and installation charges, sales taxes, excise taxes, or other taxes are in addition to the stated purchase price. You shall be responsible for the payment of all applicable taxes and charges.
Credit Card Fees
If client opts to pay invoices with credit card, client is solely responsible for the applicable credit card fees (2.9% or current rate).
Delivery is Approximate
Quoted delivery dates are approximate dates only. Designer shall not be responsible for any delay in delivery or failure in performance for any cause beyond our reasonable control including but not limited to labor disputes, failure or delay of sources to supply, transportation difficulties, accidents, fires, or acts of God.
Exclusion of Warranties
Designer does not make any representations or warranties of any kind regarding any Merchandise, decorative finishes, Decorative Installations, moving services, delivery services, installation specialists or other contractors, vendors, or suppliers recommended by us. ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, ARE EXPRESSLY EXCLUDED, INCLUDING BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
In no event shall Designer be liable for any consequential or incidental damages. In no event shall our liability arising out of or resulting from your purchase of any item of Merchandise or any Decorative Installations under this Agreement, for any reason, exceed the amount actually paid by you to us for the concerned item of Merchandise or for the concerned Decorative Installation.
Schedule I: Termination Rights
1. Termination for Cause
This Agreement may be terminated by either party upon the other party's default in performance, provided that the terminating party provides the defaulting party with written Notice specifying the nature and extent of default, and the defaulting party fails to cure the default within twenty (20) days after receiving the written Notice. Termination for cause shall be without prejudice to any and all other rights and remedies that we may have, and in such event, you shall remain liable for all outstanding obligations owed by you to us.
2. Your Right to Terminate Without Cause
You may, upon ten (10) days written Notice to us, terminate this Agreement for any reason. Should you terminate this Agreement, you will remain financially obligated and responsible for all services completed, all Merchandise ordered, and all other commitments set forth in signed Proposals. In addition, you shall be obligated to pay all monies due to us under this Agreement, including unpaid invoices, Design Fees, Hourly Rates, Project Administration Fees, Procurement Fees, and Reimbursable Expenses, whether or not such invoices have been rendered.
Schedule J: Dispute Resolution
1. Venue
Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement shall bring the legal action or proceeding only in any court of the State of California sitting in the County of Los Angeles. Each party submits to the exclusive jurisdiction of such courts and expressly waives any jurisdictional or venue defenses otherwise available to them.
2. Choice of Law
This Agreement shall be construed in accordance with and governed by the laws of the State of California, without regard to conflict of laws principles.
3. Mediation
In the event of any dispute between the parties, each party agrees first to try in good faith to settle the dispute through mediation administered by a Mediator in the County of Los Angeles, State of California, before resorting to arbitration.
Schedule K: Additional Terms and Conditions
1. Design Documents
All drawings, specifications, plans, sketches, and other documents prepared by Designer are conceptual in nature and intended to set forth our design intent only. We do not and are unable to perform architectural, engineering, or construction services. Our Design Documents must not be used by you or by any other person for architectural, engineering, or construction purposes. We make no representations that any recommendations set forth in any Design Document will meet applicable code or regulatory requirements.
2. General Contractor Relationship
Client's General Contractor is retained directly by Client and is not a party to this Agreement. Designer is not responsible for the General Contractor's work, schedule, costs, quality, or compliance with approved design specifications. Designer's role is to provide design intent, specifications, and coordination — not to supervise, direct, or control the General Contractor. If materials sourced by the General Contractor deviate from approved specifications, Designer reserves the right to document the deviation and flag it to Client. Client is responsible for directing the General Contractor to remediate any non-conforming work.
3. Designer Sourcing Policy
All finishes, furnishings and materials coordinated through Designer's design process must be purchased through Designer. If the client independently purchases a product that was recommended, specified, approved, or coordinated by Designer, a design coordination fee of 20% of the client's purchase price applies. This fee reflects the design intent, research, and approval process that informed the selection, regardless of where the final purchase is made.
4. Your Responsibilities to Us
In order to provide you with services, you agree to provide Designer with access to the Project site as well as all information we may need to complete the Project. To begin design work and start the 10-business-day delivery clock, the following must be provided in full:
Deposit payment cleared in full
Existing home floor plans for all Phase 1 zones
5–7 inspiration images per space (for design alignment and moodboard development)
The 10-business-day clock begins once deposit and all required materials are received. Delays in providing these materials will delay the design delivery timeline accordingly.
5. Reimbursable Expenses
Out-of-pocket expenses actually and reasonably incurred by us in the interests of your Project will be submitted to you for reimbursement and are payable upon receipt of our invoices. Reimbursable Expenses may include, without limitation, samples, postage/FedEx/UPS charges, photocopying, parking, travel costs (in excess of 100 miles), wire fees, freight, delivery, storage costs, blueprints, duplications of plans and specifications, and messenger services. Reimbursable Expenses will be billed to you at their actual cost.
6. Ownership and Use of Design Documents
All of our Design Documents are owned by Designer and will be our exclusive property at all times, and we will retain all intellectual property rights and proprietary rights, including copyrights and trademarks. You may use our Design Documents only as permitted by this Agreement.
7. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold Designer harmless from and against any and all third-party claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) relating to, arising out of or resulting from the actions and omissions of you and/or of any General Contractor, subcontractor, vendor, tradesperson, supplier, agent, or other third party hired or otherwise retained by you or on your behalf.
8. Limitation of Liability
To the fullest extent permitted by law, our total liability to you shall not for any reason exceed the total amount of Design Fees and other Designer compensation actually paid to us pursuant to this Agreement. Under no circumstances shall we be responsible for any indirect or consequential damages, or for the actions or omissions of any General Contractor, subcontractor, vendor or other third party. No action against us for breach of this Agreement or otherwise may be brought more than one (1) year after the date of the accrual of such cause of action.
9. Consent to Photograph Project
You will permit us or our representatives to photograph, video and/or otherwise record images of the Project Areas and your residence before, during, and after Project completion for our business purposes including publication. We will not identify your name and address in any such publication without your prior written consent.
Other Matters
This Agreement can be modified only by a writing signed by an authorized representative of each party.
In case any provision of this Agreement shall be held invalid or unenforceable, all remaining provisions shall continue to be valid and binding.
All rights and obligations which by their nature would be expected to survive termination of this Agreement shall survive completion, termination or expiration of this Agreement.
Signed counterparts of this Agreement may be exchanged by email or other electronic means.
This Agreement is a complete statement of our understanding. No other representations or agreements have been made other than those contained in this Agreement.
The Parties acknowledge that they have read, understood, sought access to legal counsel if necessary, and agree to the terms contained in this Agreement.
