Permitting Note

All construction is executed to current city code standards by our licensed contractors regardless of permit status. Should you elect to permit this project with the city of Los Angeles, all permit fees, plan check fees, and inspection fees are your direct financial responsibility: you will submit payment directly to the city to secure permitting. Notes & Terms

Stone, Tile & Finishes

Stone, tile, vanities, fixtures, hardware, and all finish materials are not included in Phase 1 construction pricing. All finishes and furnishings are sourced through Sparrow & Aire Studio and will be presented to you with pricing for approval before any purchase is placed. No order is placed without your written approval and payment.

Designer Sourcing Policy

All finishes, furnishings and materials coordinated through Designer's design process must be purchased through Designer. If you independently purchase a product that was recommended, specified, approved, or coordinated by Designer, a design coordination fee of 20% of your purchase price applies: this reflects the design intent, research and approval process that informed the selection regardless of where the final purchase is made.

Revisions

Two rounds of revisions are included per room after design concept, renders and drawings have been submitted. A revision is defined as one consolidated set of feedback per round. Revisions that materially change the original design direction are considered a redesign and billed at $125/hr.

Client Assets Required

To begin design work, the following must be provided within 48 hours of signing: existing floor plans for all zones and inspiration references per room (minimum 3–5 images per space). Delays in providing assets will impact the design delivery timeline.

Flooring

$13,500–$17,000 includes installation and full baseboard replacement throughout the entire home. Final price depends on material selections. Strongly recommended in Phase 1 to avoid disruption after furnishings are placed.

Wardrobe / Closet Build

$8,500–$12,000 is a preliminary estimate. Final scope and pricing subject to field measurements and material selections confirmed on site prior to commencement.

Permitting

All construction is executed to current city code standards by licensed contractors regardless of permit status. Should you elect to permit this project, all permit fees, plan check fees and inspection fees are your direct financial responsibility: paid by you directly to the city. Designer does not advance permit costs. Designer is not responsible for code compliance determinations or regulatory approvals.

Payment Terms

All invoices are due upon receipt. Late payments are subject to a 12% annual interest charge after 30 days. Designer reserves the right to pause services and withhold deliverables until the account is current. No product orders are placed before payment is received.

Phase 2 & Phase 3

Phase 2 and Phase 3 are separate scopes requiring separate agreements and deposits. Pricing for each phase will be presented upon completion of the preceding phase. Interior design services for all phases are covered under the full home interior design agreement.

Every purchase requires your written approval and payment before an order is placed. You are never surprised by a charge: every invoice is accompanied by the corresponding proposal or time log before payment is due.

How We Stay Aligned: Project Communication Protocol

This protocol is referenced in the project agreement and shared with all trades at kickoff. It is how we keep every phase of your renovation on schedule and on budget.

Weekly Client Check-In

One 30-minute call per week during active construction phases: plus ad hoc calls as needed when decisions or issues arise between scheduled check-ins.

Kickoff & Contact Setup

At kickoff, all relevant contacts: GC, trades, vendors: are formally introduced to Kimberly as the scheduling and coordination point of contact. This is documented in the project agreement and communicated in writing to all parties.

Weekly Client Check-In

One structured 30-minute call per week covers what was completed, what is behind, and what decisions are needed before the following week begins. A written summary is sent after every call. Ad hoc calls are available as needed between check-ins when time-sensitive decisions or issues arise.

Monday Trade Confirmation

Every Monday, Kimberly sends text confirmation to each trade scheduled for that week. No response within 4 hours triggers an immediate escalation to the GC. You are never in a position where a trade simply does not show up without notice.

48-Hour Callback

48 hours before any scheduled install or delivery, Kimberly calls to reconfirm. If a trade cancels at this point there is still time to adjust sequencing or find a replacement: protecting your timeline from last-minute disruption.

Same-Day Site Log

Every site visit is logged with timestamp, photos, and a written summary of what was observed. This creates a documented record of progress, contractor performance, and any issues that arise: shared with you in your weekly status report.

Escalation Protocol

Any no-show, significant delay, or quality issue is documented and communicated to you immediately: not at the end of the week. The GC is responsible for resolution. Kimberly communicates the timeline impact and the required next steps clearly and in writing.

Friday Status Report

Every Friday a concise written summary is sent covering: what was completed this week, what is behind and why, what decisions are needed before Monday, and what is scheduled for the following week. You always know exactly where your project stands.

Trade coordination, scheduling, site logging, and client check-ins are all billable PM time at $125/hr: not absorbed into the design fee. All hours are tracked and reported bi-weekly so you always see exactly what you are being billed for.

Full Agreement , All Schedules

This Agreement, including all schedules referenced herein, confirms the understanding between Kimberly V Gedeon / Sparrow+Aire Studio LLC (the "Designer") and Devan Terry (the "Client") with respect to the property at 3806 Carmona Ave, Los Angeles, CA (the "Project").
Schedule A: Preliminary Project Information
1. Project Area
Full residence at 3806 Carmona Ave, Los Angeles, CA. Approximately 1,842 square feet. 4 bedrooms, 3 bathrooms including master bath addition.
2. Proposed Budget
Phase 1 scope pricing is set forth in Schedule F. Stone, tile, vanities, fixtures and finish materials are not included in Phase 1 construction pricing and will be sourced separately through Designer, presented to client with pricing for approval before any purchase is placed. All permit fees, plan check fees, and governmental charges are excluded from Phase 1 pricing. Should client elect to permit, fees are paid by client directly to the city: Designer does not advance permit costs.
3. Budget Estimates
While Designer will best endeavor to implement plans within the proposed budget, in light of the many factors outside of our control, Designer does not represent or guarantee that Project costs will not exceed these budgets or any revised budget proposed or approved by you.
4. Project Team
Your Designer for the Project is Kimberly V Gedeon, Sparrow+Aire Studio LLC.
Schedule B: Phase 1 Design Concept Services
On the basis of existing plans or measurements to be taken or confirmed by Designer, Designer will perform the following services for Phase 1 zones:
Conduct an initial design study of existing conditions across all Phase 1 areas
Discuss design preferences for the kitchen, guest bath, master bath, and open concept living spaces
Provide mood boards, photos, presentation boards and/or samples to illustrate suggested design concepts including color schemes, interior finishes, wall coverings, floor coverings, and ceiling treatments for client approval
Prepare floor plans specifying the general location for furnishings and fixtures
Phase 1 design concept, floor plans, 3D renders and technical drawings are included in the Phase 1 construction pricing. Design Documents will be presented to you for your review and written approval.
Revisions

Schedule B-2: Full Home Interior Design Services
Full home interior design services cover all 10 rooms of the residence across all three phases. Services include 2D mood boards, design concept and direction, 3D renders, floor plans, technical drawings where applicable, FF&E boards (for kitchens and bathrooms), material specification boards, and up to two rounds of revisions per room after initial submission.

Option 01: Full Home Flat Rate: $8.00 per sqft x 1,842 sqft = $14,736. All 10 rooms included. Best value.
Option 02: Per Room (3+ rooms): $2,100 per room. For clients committing to 3 or more rooms at a time.
Option 03: Per Room (1–2 rooms): $2,800 per room. For occasional or partial scope. Highest per-room rate.
Selection of fee structure must be confirmed in writing at time of signing. Any rooms designed outside of the elected fee structure are billed at the applicable per-room rate.

Schedule C: Selection of Merchandise
1. Selection and Specification of Merchandise
Research, design and procure merchandise such as furniture, wall coverings, floor coverings, window treatments, fixtures, decorative accessories, art, stone, tile, and the like
Provide fabric samples, finish samples, photographs, and/or other visual illustrations of merchandise for client consideration
Provide written purchase specifications for approved Merchandise
2. Installation
Designer will, at the conclusion of the Project, assist with final placement of decorative merchandise at the residence.
Schedule D: Purchasing Services
1. Purchasing Services
Designer will provide purchasing services in accordance with the terms set forth below. All Merchandise and Decorative Installations sold by or through Designer are subject to Schedule G: Terms and Conditions of Sale.
2. Proposals
Each item of Merchandise to be purchased by you will be specified in a written proposal prepared by Designer and submitted for your approval. Each Proposal will describe the item or service to be purchased and its specified price to you.
3. Ordering and Payment
All Merchandise specified by Designer will, if you wish to purchase them, be purchased solely through Designer. No item can be ordered until the corresponding Proposal has been approved by you and returned with the required initial payment of at least fifty percent (50%) of the Specified Price. Custom orders, fabrics, wallpaper, accessories, antiques, and art require full payment at time of signed Proposal.
4. Order Management
Designer will assist in managing your orders and following up with vendors regarding any delays or errors in processing your orders, and in scheduling and coordinating deliveries with vendors to your residence.
5. Merchandise Inspection
You will be solely responsible for receiving, uncrating, and inspecting Merchandise for any visible damage upon receipt. All claims including defects, shortages and errors must be made within one (1) day after receipt of the Merchandise. Failure to make any claim within such one (1) day period shall constitute acceptance of the Merchandise and a waiver of said defects, shortages, errors, or other claims.
Schedule E: Installation & Project Administration Services
During the course of the Project, Designer will visit your residence from time to time as deemed necessary to oversee placement and installation of furnishings and merchandise, as well as manage contractors and third-party installers. Designer will also visit your residence from time to time as deemed necessary to see whether, in our opinion, the work of any contractor, subcontractor, or vendor is proceeding in general conformity with our Design Documents ("Project Administration Services").
Designer is not responsible, however, for the performance or timely completion of any work by any contractor, subcontractor, or vendor, or of any materials or equipment furnished by them.
Schedule F: Designer Compensation

$125 per hour for sourcing, vetting and coordinating all finishes and furnishings. All finishes and furnishings are presented to client with pricing for approval before any purchase is placed. No order is placed without client written approval and payment.
6. Installation & Staging Oversight
$500 per day for Designer on-site oversight of furniture delivery, assembly, mounting and final layout. Staging crew labor is $325 per person per day and is billed separately. Client may use their own handyman for staging labor; Designer still oversees final layout and staging at the daily oversight rate.
7. Payment Terms
All of Designer's invoices are payable upon receipt. Any amounts not paid when due are subject to an interest charge of twelve percent (12%) per annum after 30 days. Designer may suspend services and withhold any item of Merchandise until payment has been made in full. You will be liable for all costs including reasonable attorneys' fees incurred in the collection of any amounts due. All Designer compensation is subject to applicable state and local sales and excise taxes and you agree to pay these taxes.
Schedule G: Terms and Conditions of Sale
Price Changes
Proposal prices are adhered to as much as possible. Designer reserves the right to increase your price accordingly due to supplier price changes. You will be notified of any price increases; and when the price increases by more than ten percent (10%) over the original Proposal price, your written approval will be obtained prior to purchase.
No Cancellations or Returns
All Proposals approved by you in writing are non-cancelable unless expressly agreed upon in writing. Designer will not, under any circumstances, accept cancellation of any custom or special order. Should Designer accept a cancellation of an order, Designer shall have the right to retain payments equal to the compensation or fees that would have been earned had the order not been cancelled.
Change Orders
Work change orders (WCO) will be issued for additional work and changes requested after approval of plans or commencement of work. WCOs include a description of the change requested, estimated additional costs, and changes to work schedules. Client's signature is required on WCOs to proceed.
Product Taken on Approval
You agree to make purchasing decisions within twenty-four (24) hours of all items taken on approval. Any items of Merchandise held for more than twenty-four (24) hours without your rejecting the proposed Merchandise will be invoiced to you, and your payment will be due upon your receipt of the invoice. All Merchandise delivered to you will incur shipping and/or delivery charges regardless of whether the item was purchased.
Client's Failure to Accept Delivery
Any Merchandise not accepted for delivery within fourteen (14) days after notification is subject to storage charges as determined by Designer. You will bear the risk of loss or damage during such transfer and storage.
Carrier as Agent of the Client
All shipments are made F.O.B. place of origin. If Designer arranges for delivery of Merchandise, the carrier shall be deemed your agent. Designer shall not be responsible, in any event, for any damage caused to the Merchandise during shipment, transfer, or while in storage. All claims for freight overcharge or damage to goods while in transit must be settled with the carrier.
Sales Taxes and Other Charges
All delivery, packing, crating, shipping, in-transit insurance, local delivery, hoisting, uncrating and installation charges, sales taxes, excise taxes, or other taxes are in addition to the stated purchase price. You shall be responsible for the payment of all applicable taxes and charges.
Credit Card Fees
If client opts to pay invoices with credit card, client is solely responsible for the applicable credit card fees (2.9% or current rate).
Delivery is Approximate
Quoted delivery dates are approximate dates only. Designer shall not be responsible for any delay in delivery or failure in performance for any cause beyond our reasonable control including but not limited to labor disputes, failure or delay of sources to supply, transportation difficulties, accidents, fires, or acts of God.
Exclusion of Warranties
Designer does not make any representations or warranties of any kind regarding any Merchandise, decorative finishes, Decorative Installations, moving services, delivery services, installation specialists or other contractors, vendors, or suppliers recommended by us. ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, ARE EXPRESSLY EXCLUDED, INCLUDING BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
In no event shall Designer be liable for any consequential or incidental damages. In no event shall our liability arising out of or resulting from your purchase of any item of Merchandise or any Decorative Installations under this Agreement, for any reason, exceed the amount actually paid by you to us for the concerned item of Merchandise or for the concerned Decorative Installation.
Schedule H: Termination Rights
1. Termination for Cause
This Agreement may be terminated by either party upon the other party's default in performance, provided that the terminating party provides the defaulting party with written Notice specifying the nature and extent of default, and the defaulting party fails to cure the default within twenty (20) days after receiving the written Notice. Termination for cause shall be without prejudice to any and all other rights and remedies that we may have, and in such event, you shall remain liable for all outstanding obligations owed by you to us.
2. Your Right to Terminate Without Cause
You may, upon ten (10) days written Notice to us, terminate this Agreement for any reason. Should you terminate this Agreement, you will remain financially obligated and responsible for all services completed, all Merchandise ordered, and all other commitments set forth in signed Proposals. In addition, you shall be obligated to pay all monies due to us under this Agreement, including unpaid invoices, Design Fees, Hourly Rates, Project Administration Fees, Procurement Fees, and Reimbursable Expenses, whether or not such invoices have been rendered.
Schedule I: Dispute Resolution
1. Venue
Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement shall bring the legal action or proceeding only in any court of the State of California sitting in the County of Los Angeles. Each party submits to the exclusive jurisdiction of such courts and expressly waives any jurisdictional or venue defenses otherwise available to them.
2. Choice of Law
This Agreement shall be construed in accordance with and governed by the laws of the State of California, without regard to conflict of laws principles.
3. Mediation
In the event of any dispute between the parties, each party agrees first to try in good faith to settle the dispute through mediation administered by a Mediator in the County of Los Angeles, State of California, before resorting to arbitration.
Schedule J: Additional Terms and Conditions
1. Design Documents
All drawings, specifications, plans, sketches, and other documents prepared by Designer are conceptual in nature and intended to set forth our design intent only. We do not and are unable to perform architectural, engineering, or construction services. Our Design Documents must not be used by you or by any other person for architectural, engineering, or construction purposes. We make no representations that any recommendations set forth in any Design Document will meet applicable code or regulatory requirements.
2. Permitting and Code Compliance
All construction work performed through Sparrow+Aire Studio is executed to current city code standards by licensed contractors, regardless of permit status. The Phase 1 construction pricing is based on no city permit fees. Should the client elect to permit this project with the city of Los Angeles or any other governmental authority, all permit fees, plan check fees, inspection fees, engineering fees required by permit, and any related governmental charges are excluded from the agreed Phase 1 pricing and are the sole financial responsibility of the client. Client shall submit payment directly to the applicable governmental authority to secure permitting: Designer does not advance or float permit costs on behalf of the client. Designer is not responsible for permit filing, code compliance determinations, or regulatory approvals.
3. Designer Sourcing Policy
All finishes, furnishings and materials coordinated through Designer's design process must be purchased through Designer. If the client independently purchases a product that was recommended, specified, approved, or coordinated by Designer, a design coordination fee of 20% of the client's purchase price applies. This fee reflects the design intent, research, and approval process that informed the selection, regardless of where the final purchase is made.
4. Your Responsibilities to Us
In order to provide you with services, you agree to provide Designer with access to the Project site as well as all information we may need to complete the Project. All approvals required to be given by you shall not be unreasonably or untimely withheld or delayed. It is your responsibility to obtain all approvals required by any governmental agency in connection with this Project. To begin design work, the following must be provided within 48 hours of signing: existing floor plans for all zones and inspiration references per room (minimum 3–5 images per space).
5. Reimbursable Expenses
Out-of-pocket expenses actually and reasonably incurred by us in the interests of your Project will be submitted to you for reimbursement and are payable upon receipt of our invoices. Reimbursable Expenses may include, without limitation, samples, postage/FedEx/UPS charges, photocopying, parking, travel costs (in excess of 100 miles), wire fees, freight, delivery, storage costs, blueprints, duplications of plans and specifications, messenger services, city permit fees (if elected by client), plan check fees, and inspection fees. Reimbursable Expenses will be billed to you at their actual cost.
6. Ownership and Use of Design Documents
All of our Design Documents are owned by Designer and will be our exclusive property at all times, and we will retain all intellectual property rights and proprietary rights, including copyrights and trademarks. You may use our Design Documents only as permitted by this Agreement.
7. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold Designer harmless from and against any and all third-party claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) relating to, arising out of or resulting from the actions and omissions of you and/or of any Design Related Professional, construction contractor, contractor, subcontractor, vendor, tradesperson, supplier, agent, or other third party hired or otherwise retained by you or on your behalf.
8. Limitation of Liability
To the fullest extent permitted by law, our total liability to you shall not for any reason exceed the greater of (i) the total amount of Design Fees and other Designer compensation actually paid to us pursuant to this Agreement; or (ii) the available proceeds of our insurance policies, if any, and if applicable. Under no circumstances shall we be responsible for any indirect or consequential damages, or for the actions or omissions of any contractor, subcontractor, vendor or other third party, even if we recommended them. No action against us for breach of this Agreement or otherwise may be brought more than one (1) year after the date of the accrual of such cause of action.
9. Consent to Photograph Project
You will permit us or our representatives to photograph, video and/or otherwise record images of the Project Areas and your residence before, during, and after Project completion for our business purposes including publication. We will not identify your name and address in any such publication without your prior written consent.
Other Matters
This Agreement can be modified only by a writing signed by an authorized representative of each party.
In case any provision of this Agreement shall be held invalid or unenforceable, all remaining provisions shall continue to be valid and binding.
All rights and obligations which by their nature would be expected to survive termination of this Agreement shall survive completion, termination or expiration of this Agreement.
Signed counterparts of this Agreement may be exchanged by email or other electronic means.
This Agreement is a complete statement of our understanding. No other representations or agreements have been made other than those contained in this Agreement.
The Parties acknowledge that they have read, understood, sought access to legal counsel if necessary, and agree to the terms contained in this Agreement.
